Consultancy
Consultancy is a term that can cover many types of projects and since 1997 DDL has performed many consultancy contracts for its clients. Some of these have been of short duration and others have been over several months and have involved masterminding completion of the whole project to time and budget. Others have involved assembling teams of experienced people to do the project work under DDL’s management.
Examples of consultancy projects DDL has undertaken are:

Planning and implementation of novation exercises often following a takeover or merger or the transfer of deals to another branch.

Audit of the constituent elements of Agreements often but not exclusively in relation to credit rating triggers agreed.

Composition of documentation negotiation procedures and policy manuals. These are useful to new negotiators joining a client or to consolidate existing policies recorded in numerous separate documents. It can sometimes be a regulatory requirement.

Review and analysis of templates used for master agreements and confirmations particularly when the client’s current standard templates were composed several years ago and may be getting out of date.

Establishing documentation tracking systems often in conjunction with the client’s IT department.

Documentation credit issue consultancy (we have worked on projects where we have been used as the communication link between credit, legal, documentation and trading functions).

Formulation of Schedules or Annexes to the main master agreements in the market. This is often done for clients who are new to the markets concerned and would like to know which terms are considered market standard and which not.

Bespoke market surveys to client specifications.

Cross border legal analysis of documentation issues.

Planning and setting up derivatives documentation units.

Reordering and temporarily running derivatives documentation units.

Most projects are undertaken at an agreed hourly or daily rate with the client plus VAT if applicable. Policy manual composition is usually on a fixed fee basis plus VAT if applicable.
